Set the rules your statutes require — quorum thresholds, majority types, multi-step approval chains — and BoardiGO applies them when the vote happens. Whether a decision passed is decided by the rule, not by whoever counted hands.
Every vote is recorded on the agenda item that raised it, with the result and the rule it was decided under. Nobody reconstructs "what did we actually vote on?" from an email thread three weeks later.
When the lawyer says "we need a board resolution first", the signature goes out from inside the decision — and the signed document comes back to it. No circulating a PDF and hoping; no separate signing tool holding half your record.
The minute is drafted from the live record of the meeting — the decisions, votes and signatures as they happened — then reviewed by the secretary and signed by the chair. Not written late, from memory, under pressure.

Decisions, signatures and minutes live on one record — that binding is the value. A few adjacent categories sit outside that focus on purpose, and we would rather tell you where the line is than let you discover it later.
BoardiGO executes electronic signatures inside the governance workflow, attached to the decision they belong to. Qualified and advanced e-signature assurance levels are a separate category — we confirm the exact scope and certificate output for your use case.
Signatures here are bound to board decisions and minutes — that binding is the value. For broad inter-company contract signing across many counterparties, a dedicated signature platform is the better fit, and we will say so.
BoardiGO records who decided what, with the statutory rule applied. Anonymous balloting and a full conflict-of-interest register are outside today's scope; if either is a hard requirement, tell us early.
Each signature stays bound to its decision, and the decision stays on the meeting record. That is what we promise — in plain words, not with vocabulary we would not stand behind in front of your counsel.
